CHARGERA — GENERAL TERMS & CONDITIONS
Last update: October 8, 2026
1. Introduction
This document is intended to govern the ChargEra platform relationships described below. Fields highlighted in yellow are placeholders and must be completed before publication.
2. Scope and acceptance
These General Terms & Conditions (the “Terms”) govern access to and use of the ChargEra digital platform, website, mobile application and related digital services (together, the “Platform”) operated by SAS CHARGERA (“ChargEra”, “we”, “us” or “our”).
The Platform facilitates peer-to-peer reservations of private locations where a Host makes available a defined parking location, access to an EV charging installation and the facilities expressly identified in the Host listing. ChargEra acts as a digital platform and intermediary between Members; except where expressly stated otherwise, ChargEra is not a party to the physical reservation contract between Host and Guest.
By creating an account, using the Platform, listing a charger, making a reservation, acquiring or using ION, or otherwise using a service governed by these Terms, the Member accepts these Terms. Where a separate document or specific booking rule applies, that document or rule forms part of the contractual framework.
3. ChargEra's role as a platform and intermediary
ChargEra provides digital marketplace and platform functionality. It enables Members to discover Listings, communicate, reserve available periods, manage Sessions, maintain an ION Balance, receive notifications, submit reviews and contact support.
ChargEra does not own or operate the Host’s private parking location merely by listing it on the Platform. ChargEra does not acquire the Host’s electricity for resale to the Guest and does not invoice the Guest for a quantity of electricity measured in kWh.
The Host remains responsible for the location, charger, access conditions, listed facilities, permissions, legal compliance and obligations allocated to the Host under these Terms and the Host Terms.
The Guest remains responsible for complying with the Host’s reasonable rules, the Reservation conditions and applicable safety requirements.
4. User accounts and eligibility
Members must provide accurate, current and complete information and must keep their Account information up to date. ChargEra may require identity, address, vehicle, charger or other
verification information where necessary for safety, fraud prevention, legal compliance or operation of the Platform.
A Member must be legally capable of entering into the relevant contract. Where a Member acts for another person or a minor, the Member represents that they have the required authority.
A Member must maintain the confidentiality of account credentials and promptly notify ChargEra of suspected unauthorized access.
ChargEra may apply reasonable verification, security and fraud-prevention measures. A verification status indicates only that the applicable verification process has been completed; it is not a guarantee of the Member, property, charger, safety, legality or future performance.
5. Host and Guest roles
A Member may act as a Host, Guest, or both, subject to the applicable requirements.
Hosts must comply with the separate Host Terms. Guests must comply with the separate Guest Terms. Where those documents contain rules specifically governing the physical Host–Guest relationship, those rules apply to the relevant reservation.
The Host and Guest remain responsible for their own acts and omissions in connection with the physical use of the location and charger.
6. The Host–Guest reservation relationship
A confirmed Reservation creates a direct contractual relationship between the Host and Guest concerning the defined period of access to the Host’s location, parking space, charging installation and listed facilities, subject to the applicable Host and Guest Terms.
ChargEra facilitates the formation and administration of that relationship but is not itself the owner, landlord, occupier or physical provider of the Host location unless expressly stated for a particular service.
The exact contractual nature of a particular location or arrangement may depend on the facts, applicable law and the Host’s legal status. Nothing in these Terms transfers ownership of the property or charging installation to ChargEra.
7. Reservations and charging sessions
The Guest selects an available time period and reviews the Reservation information before confirmation. The Platform displays the applicable ION requirement and relevant information about the Listing before confirmation.
The maximum permitted Session extension is one additional hour unless the Platform expressly states otherwise. A further period requires a new Reservation.
Before confirmation, ChargEra may place on hold the ION required for the reserved period plus the maximum permitted additional hour, as displayed to the Guest. At the end of the Session, the applicable ION amount is determined according to the actual permitted duration and the applicable network rules; the unused held amount is released to the Guest’s available Balance.
ChargEra may record Session start and end information through the Platform. Session records may be based on Host and Guest confirmations and technical information available to ChargEra.
8. Time, location, access and facilities — not a kWh sale
The contractual object of a Reservation is the reserved period of access to a specified location, including the parking space, access to the charging installation and the facilities or amenities expressly included in the Listing.
The contractual unit is therefore time/reservation. Electricity consumption measured in kWh is not the contractual pricing unit for the .
kWh information may nevertheless be displayed, estimated or technically measured for statistics, sustainability information, charging estimates, diagnostics, user information, future analytics, smart-charging functionality.
The contractual object of a Reservation is the time-based access to a Host's private location, parking space, charging installation, and associated amenities. ChargEra strictly operates as a digital platform facilitating time-based parking and facility reservations; Members do not purchase or resell metered quantities of electricity measured in kWh. kWh information displayed within the Platform serves exclusively informational, smart-charging, or analytical purposes.
9. ION — general principles
ION are internal ChargEra platform credits usable exclusively to reserve parking place, electric vehicle charging, and amenity access within the ChargEra ecosystem in accordance with these Terms. ION cannot be converted into euros, withdrawn in cash, transferred to an external account or used to purchase goods or services outside ChargEra.
ION is a ChargEra platform credit recorded in the Member’s Balance and usable only within the ChargEra ecosystem in accordance with these Terms and the applicable transaction rules.
ION may be acquired from ChargEra when the Platform permits such acquisition and may also be granted as a reward or promotional benefit for qualifying activities, including hosting, referrals, charger verification, qualifying subscriptions or other activities designated by ChargEra.
ION is not intended to function as a general-purpose currency outside ChargEra. ION may not be used to purchase goods or services outside the ChargEra ecosystem, transferred to an external account, or independently exchanged between Members.
10. ION acquisition, rewards and Balance
Where ION may be purchased, the applicable quantity, price, any applicable fees and applicable taxes are displayed before the purchase is confirmed. The payment for the acquisition of ION is separate from the underlying Host–Guest Reservation relationship.
10.1 Hosting Rewards: Hosts earn IONs as a platform reward for hosting Guests and making their location and amenities available. Earned IONs accumulate in the Host’s Account Balance and can be utilized by the Host to book Reservations at other Host locations across the Platform network.
10.2 Purchased IONs (Top-Ups): Where a Guest’s ION Balance is insufficient to complete a desired Reservation (including the maximum permitted extension period), the Guest may purchase the required missing IONs for fiat currency at checkout via the Platform’s integrated payment infrastructure.
10.3 Strict Non-Redeemability: IONs earned through hosting or acquired via purchase carry no cash redemption value, cannot be cashed out, refunded into euro fiat currency, transferred to external bank accounts, pledged, exchanged between Members outside a Reservation, or converted into cash upon Account closure.
ION acquired by purchase and ION earned as a reward are recorded in the same ION Balance. Promotional or bonus ION may be subject to a predefined expiry date disclosed at the time the bonus is granted.
Purchased and earned ION do not have a contractual cash redemption right. No ION may be withdrawn to a bank account.
ChargEra may maintain transaction records identifying, as applicable, ION purchased, earned, granted as a bonus, reserved/held, consumed, released, adjusted or otherwise affected.
11. ION reference value
For transparency and internal calculation and accounting purposes, ChargEra uses a reference value of €0.05 per ION.
This reference value is used to help Members understand the relative ION requirement associated with Platform transactions and to support ChargEra’s internal accounting and calculation processes.
The €0.05 reference value is not a redemption promise, reimbursement guarantee, bank balance, deposit, or contractual right to receive €0.05 in cash for one ION. ION cannot be redeemed for euros under these Terms.
For internal accounting, calculation, and calculation consistency, ChargEra applies a baseline reference value of €0.05 per ION.
The exact number of ION required for a Reservation is calculated dynamically by ChargEra according to its applicable pricing methodology. The methodology may take into account objective factors including Reservation duration, geographical location, time slot, listed amenities and, where applicable, electricity-cost parameters. Such parameters are used as inputs to ChargEra's internal pricing methodology and do not make measured kWh the contractual pricing unit
12. ION use in ChargEra transactions
ChargEra will never advance or pay for missing IONs on behalf of a Guest. To successfully confirm a Reservation, the Guest must possess a sufficient ION balance to cover the total requested duration plus the maximum permitted extension period (e.g., one additional hour). If the Guest does not have enough IONs to cover this combined maximum duration, the Platform will require the Guest to purchase the missing IONs at the time of reservation checkout. Similarly, if a Guest requests an in-progress extension and lacks sufficient IONs, the system will force an immediate purchase of the missing IONs before the extension is granted.
At completion of the Session, ChargEra calculates the applicable ION amount under the network rules. The corresponding amount is deducted from the Guest’s Balance. Any unused held ION is released to the Guest’s available Balance.
ChargEra may separately grant the Host the applicable ION reward arising from the Host’s qualifying hosting activity. The Platform ledger may record these events atomically, but the Host reward is recorded as a ChargEra reward and the Guest deduction is recorded as the Guest’s use of ION.
No manual Member-to-Member ION transfer facility is provided by the Platform.
13. ION restrictions, expiry and corrections
IONs are designed to foster a reciprocal community ecosystem where Members carry their hosting benefits when traveling. Because IONs cannot be withdrawn or converted into fiat currency.
Upon Account closure or termination, unused ION are not redeemable for cash and may cease to be usable through the Account, subject to applicable law and any mandatory consumer rights.
ION cannot be cashed out, redeemed for euros, transferred outside ChargEra, used outside ChargEra, pledged, sold independently, or treated as a general-purpose payment instrument by a Member.
Promotional or bonus ION may expire on the date disclosed when granted. Unless expressly stated otherwise, purchased and earned ION do not have a predefined promotional expiry date, subject to account closure, fraud, correction, legal requirements and the applicable Terms.
ChargEra may correct, reverse, cancel or adjust an ION entry where reasonably necessary to correct a technical error, duplicate credit, fraud, abuse, chargeback-related event, unlawful transaction, breach of these Terms, court or regulatory requirement, or other objectively justified accounting error. Where appropriate, ChargEra will provide an explanation and, where legally required, an opportunity to challenge the decision.
Nothing in this Section creates a right to cash redemption.
14. Payment services and third-party payment provider
Applicable payments in euros or other fiat currency are processed through a third-party payment provider integrated with the Platform.
ChargEra currently intends to use Stripe for applicable payment processing and related payment infrastructure. The exact Stripe legal entity, product, contractual allocation and applicable provider terms are to be inserted before publication.
Payment Provider Information:
● Legal Entity: Stripe Payments Europe, Limited (SPEL)
● Product/Service: Stripe Payments / Stripe Connect
● Provider Terms URL: https://stripe.com/fr/legal/ssa
● Payment Flow: ChargEra uses Stripe to securely connect to the user's account and authorize funds on the go as needed for reservations and ION purchases. ● Refund Flow: Eligible refunds are processed via Stripe and credited back to the original payment method.
● Support Contact: All payment inquiries must be directed to ChargEra Support via the app; ChargEra acts as the primary contact and will liaise with Stripe on the Member's behalf.
Where payment services are provided by the third-party provider, the provider’s applicable terms and privacy information may also apply to the relevant payment transaction. ChargEra does not represent that it is itself the regulated provider of every payment service used through the Platform.
Members must provide valid payment information when required. Payment authorisations, failures, reversals, disputes and refunds may be subject to the third-party provider’s processes and applicable law.
15. Pricing, taxes and receipts
The applicable price or ION requirement for a transaction is displayed to the Guest before confirmation. Where a fiat price is applicable, the Platform will display the applicable amount and required tax information where ChargEra is legally responsible for providing it.
ChargEra operates strictly as a digital platform matching service. ChargEra does not act as a payment institution, escrow agent, or financial clearing house for Member-to-Member fiat transfers.
1. Direct Fiat Transactions: Fiat payments made by Members (for the purchase of ION top-up packs, digital subscriptions, or platform fees) are processed securely through our third-party payment provider (Stripe Payments Europe, Limited).
2. Merchant of Record for Digital Products: ChargEra acts as the sole issuer and seller of digital ION packs and platform subscriptions, issuing official receipts and collecting applicable VAT (Value Added Tax) on digital service purchases in accordance with EU tax rules.
3. Non-Cash Intermediary Model: P2P Reservation access between Members is settled internally via non-cashable ION credits. ChargEra does not execute fiat payment transfers or debt-settlement transactions on behalf of Hosts.
Hosts are responsible for assessing and complying with their own tax, accounting and social obligations arising from their activities. This contractual allocation does not purport to determine the tax treatment of Host activity.
Platform tax and reporting obligations
Hosts are responsible for complying with the tax, social-security and accounting obligations applicable to their activities.
Where applicable, ChargEra may be required by law to collect information from Hosts and other Members and to provide information to the competent tax authorities or other public authorities under applicable platform-reporting, tax or social-security rules, including where applicable the French rules implementing DAC7.
Members must provide information reasonably required for ChargEra to comply with such legal obligations.
16. Consumer information and right of withdrawal
16.1 Exemption for Specific-Date Booking Reservations: Where the applicable legal conditions for an exemption from the statutory right of withdrawal are satisfied, including where Article L.221-28 of the French Consumer Code applies to the relevant service supplied on a specific date or during a specified period, the right of withdrawal does not apply.
16.2 Right of Withdrawal for Digital ION Packs & Subscriptions: Pursuant to Article L. 221-28 1° of the Consumer Code, consumer Members purchasing standalone digital ION packs or subscriptions benefit from a 14-day right of withdrawal, provided the digital credits or services have not been fully executed or consumed during the withdrawal period. Where a Guest purchases an ION top-up pack during checkout to immediately confirm a specific Reservation, the Guest expressly requests immediate execution of the contract and acknowledges the loss of the right of withdrawal for used IONs once the Reservation is confirmed.
17. Cancellation, refunds and reservation changes
Cancellation rules applicable to Reservations are set out in the Host Terms, Guest Terms and the applicable Reservation rules displayed before confirmation.
Where a Reservation is cancelled, ChargEra applies the applicable ION release, deduction, refund or reward adjustment mechanism described in the applicable rules.
Where ION has been placed on hold for a Reservation and the Reservation is validly cancelled before consumption, the applicable unused held amount will normally be released, subject to the applicable cancellation rules and any permitted cancellation consequence.
Where a Host cancels, cannot provide the reserved location/charger, or the Reservation cannot proceed for a reason allocated to the Host, the applicable Guest protection and ION remedy will be determined under the Reservation rules.
Where a Guest cancels, fails to attend, exceeds permitted use, or otherwise breaches the Reservation rules, the applicable consequences will be determined under the Guest Terms and Reservation rules.
Nothing in these Terms excludes mandatory consumer rights.
18. Host insurance and insurance partner disclosure
Hosts are responsible for maintaining insurance and liability protection appropriate to their property, charger, activity and circumstances and for complying with any legal, contractual, condominium or insurer requirements applicable to them.
A Host must notify their insurer where required and must not list a location where the proposed activity is prohibited by applicable insurance, lease, condominium, property or other contractual restrictions.
ChargEra may request reasonable evidence of insurance or insurance-related declarations and may suspend or remove a Listing where safety or compliance concerns justify doing so.
ChargEra partners with specialized insurance providers to make dedicated coverage available to our community. Specialized insurance contracts designed specifically for EV charging and hosting risks can be reviewed and purchased directly through our insuring partners by both Hosts and Guests via the Platform.
Unless expressly stated for a specific product, ChargEra is not the insurer of the Host, Guest, vehicle, property or charger and does not guarantee that a Member’s insurance will respond to a particular incident.
Hosts represent and warrant that they maintain valid civil liability insurance (*assurance responsabilité civile*) covering their property, parking space, and charging equipment against third-party access and usage. ChargEra partners with specialized insuring partners to make optional, dedicated hosting coverage accessible directly through the Platform.
19. Charger, property and user safety
Hosts must only list charging installations and locations that they are legally entitled to make available and that they reasonably believe are safe and suitable for the intended use.
Hosts must provide accurate information about charger type, power, access conditions, connector, location, restrictions, amenities and known limitations.
Hosts must not knowingly list a defective, unsafe or unlawfully installed charging installation. ChargEra may request evidence, impose verification requirements, deactivate a Listing, or require corrective action.
Guests must follow the Host’s reasonable safety instructions, charger instructions and Platform rules and must stop use and report an apparent safety hazard.
The Platform may display technical charging information such as nominal charger power. Such information is not a guarantee of actual charging speed, which may depend on the vehicle, installation, electrical supply, ambient conditions and other factors.
The Host represents that, to the best of the Host’s knowledge and responsibility, the charging installation complies with applicable legal and technical requirements and is suitable and safe for the intended use. Where applicable law requires qualified installation, certification, inspection or other technical compliance, the Host must ensure that the relevant requirements are satisfied.
20. Verification, reviews and platform trust
ChargEra may operate verification processes for Members, addresses, vehicles, chargers or other information. Verification is a platform control and is not a certification, warranty, guarantee or insurance.
Members may submit ratings, reviews, reports and other feedback. Reviews must be accurate, relevant, lawful and based on genuine experience.
ChargEra may moderate, refuse, limit or remove content that breaches these Terms, applicable law, safety requirements, privacy rights or platform rules.
ChargEra may use reasonable trust-and-safety measures to identify suspicious activity, fraud, abuse, manipulation of reviews, duplicate accounts or other threats to Platform integrity.
21. Prohibited uses and community rules
• fraud, deception, impersonation or provision of materially false information; • using another person’s Account without authorisation;
• attempting to manipulate ION balances, rewards, Reservations, reviews or verification; • creating or operating multiple Accounts to circumvent limits or restrictions;
• attempting to transfer, sell, cash out or redeem ION contrary to these Terms; • using the Platform for unlawful activity or to facilitate unlawful activity;
• interfering with the safety, security or availability of the Platform;
• reverse engineering or unauthorised access to non-public systems;
• posting unlawful, defamatory, discriminatory, threatening, abusive or privacy-infringing content; • using a Host location or charger for a purpose outside the Reservation conditions; • bypassing safety controls or using a charger contrary to manufacturer or Host instructions.
22. Content, messaging and intellectual property
Members retain ownership of content they lawfully provide to the Platform, subject to the rights necessary for ChargEra to host, display, reproduce, adapt for technical formatting and distribute that content as necessary to operate the Platform.
A Member grants ChargEra a non-exclusive, worldwide, royalty-free licence for the duration necessary to operate the Platform and fulfil the relevant contractual purposes, subject to applicable law and the Privacy Policy.
ChargEra and its licensors retain rights in the Platform, software, interfaces, branding, databases, documentation and other proprietary materials, except for third-party materials and Member content.
Members must not copy, scrape, commercially exploit or reverse engineer the Platform except where permitted by mandatory law.
23. Moderation, suspension and account termination
ChargEra may restrict, suspend or terminate an Account or Listing where reasonably necessary to protect Members, third parties, the Platform or compliance with law, including for fraud, safety concerns, serious
breaches, unlawful activity, repeated misconduct, manipulation, or failure to satisfy required verification.
Where appropriate, ChargEra will provide the Member with the reasons for a restriction and information about available review or complaint channels, subject to legal, security and fraud-prevention constraints.
Where a Member is suspended, ION and Reservation functionality may be temporarily restricted. ChargEra may retain records necessary for legal compliance, dispute resolution, fraud prevention and legitimate business purposes.
Where an Account is terminated, the treatment of unused ION, pending Reservations and any amounts due will be governed by these Terms and applicable law. ION is not converted into cash upon account closure.
24. Complaints and consumer mediation
Members should first contact ChargEra through the support channel below. Complaints should identify the Account, Reservation or transaction concerned and provide sufficient information for ChargEra to investigate.
All support inquiries, complaints, and requests for assistance must be submitted directly through the dedicated Help & Support channel within the ChargEra mobile application.
Where applicable to a consumer dispute, ChargEra will provide access to a competent consumer mediator in accordance with French consumer law. French Consumer Code Article L.616-1 requires the professional to communicate the contact details of the competent mediator. The mediator information must be completed only after the mediation arrangement has been validly established.
In the event of a consumer dispute that cannot be resolved directly with ChargEra support, consumers have the right to resort to free mediation. ChargEra’s appointed consumer mediator is the Centre de la Médiation de la Consommation de Conciliateurs de Justice (CM2C).
● Mediator: CM2C
● Address: 49 Rue de Ponthieu, 75008 Paris
● Website: https://www.cm2c.net
25. Platform availability and technical limitations
ChargEra aims to provide a reliable Platform but does not guarantee uninterrupted availability. Maintenance, updates, telecommunications failures, cloud-service incidents, payment-provider outages, charger connectivity, force majeure and other events may affect availability.
Maps, routing, charger status, availability, power estimates, distance, estimated charging and other technical information may contain errors or become outdated.
A Host’s charger may be unavailable even where the Platform previously displayed availability. ChargEra will apply the applicable Reservation remedy where the issue is reported and falls within the relevant rules.
26. Liability
Each party remains responsible for its own acts and omissions to the extent provided by applicable law.
ChargEra is responsible for the Platform services it contractually provides, subject to mandatory legal obligations. ChargEra does not guarantee the condition, safety, legality, ownership, availability or performance of every Host location, charger, vehicle or Member.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory law, including liability that cannot lawfully be excluded in consumer contracts.
To the extent permitted by law, ChargEra is not responsible for indirect loss, loss of opportunity, loss of profit or consequential loss arising from a Member’s independent relationship with another Member.
27. Indemnification
To the extent permitted by applicable law, a Member who materially breaches these Terms and causes loss to ChargEra, another Member or a third party must bear the consequences of that breach, including reasonable costs directly attributable to the breach.
This Section does not create an unlimited indemnity against consumers or override mandatory rules concerning unfair terms, liability or consumer protection.
28. Personal data and privacy
ChargEra processes personal data in accordance with its Privacy Policy and applicable data-protection law, including the GDPR.
The Privacy Policy identifies, as applicable, the controller, purposes and legal bases, categories of data, recipients, retention periods, international transfers, rights and contact channels. GDPR Article 13 requires information to be supplied when personal data are collected from the person concerned.
Members must provide accurate information where required and must not upload or disclose third-party personal data without a lawful basis or appropriate authorisation.
29. Changes to the Terms
ChargEra may update these Terms to reflect changes in the Platform, law, security requirements, payment arrangements or business operations.
For material changes affecting existing contractual rights or obligations, ChargEra will provide notice and, where required, obtain acceptance or provide a legally compliant opportunity to terminate.
The version applicable to a particular Reservation or transaction is the version presented and accepted at the relevant time, subject to mandatory law.
30. Duration and termination
These Terms apply from acceptance until terminated by the Member or ChargEra.
A Member may close their Account through the Platform where that functionality is available or by contacting ChargEra.
Termination does not affect rights and obligations that by their nature survive termination, including provisions concerning liability, intellectual property, disputes, personal data retention where lawful, outstanding obligations and transactions already concluded.
The treatment of unused ION following account closure is subject to Section 13 and applicable law. No cash redemption is provided.
31. Applicable law and jurisdiction
These Terms are governed by French law, subject to mandatory protections applicable to consumers in the country where the consumer is habitually resident when those protections cannot lawfully be excluded.
For consumers, any jurisdiction clause will apply only to the extent permitted by mandatory consumer law. Nothing in these Terms deprives a consumer of a right to bring proceedings before a court that is competent under applicable mandatory law.
For Members acting in a professional capacity, disputes may be submitted to the competent courts in accordance with applicable French procedural law and any valid jurisdiction agreement.
32. Miscellaneous
If any provision is held invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.
Failure to enforce a provision immediately does not constitute a waiver of that provision.
These Terms, together with the applicable Host Terms, Guest Terms,, Privacy Policy, Cookie/Tracker Policy and any transaction-specific terms expressly incorporated into them, form the contractual framework applicable to the relevant use of the Platform.
In the event of a conflict, mandatory law prevails. For a specific transaction, transaction-specific terms and the applicable Host/Guest rules prevail over a general provision only to the extent of the specific subject matter and only where legally permissible.
